By accessing or using ComplyDeck ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Service.

ComplyDeck is operated by ComplyDeck, Inc. ("Company", "we", "us", or "our"). These Terms govern your use of our AI-powered compliance automation platform.

2. Description of Service

ComplyDeck is an AI-powered platform that helps organizations respond to security questionnaires and compliance assessments. The Service includes:

  • Document Management: Upload and manage compliance policy documents
  • AI-Powered Responses: Generate answers to questionnaires using your uploaded policies
  • Q&A Database: Store and reuse previously approved responses
  • Team Collaboration: Invite team members to review and approve responses
  • Export Functionality: Download completed questionnaires in various formats

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Requirements

  • You must be at least 18 years old
  • You must provide accurate and complete information
  • You must be authorized to bind your organization to these Terms
  • One person or organization may not maintain multiple free accounts

3.3 Account Security

You are responsible for all activities that occur under your account. Notify us immediately of any unauthorized access or security breach.

4. Acceptable Use

You agree NOT to:

  • Use the Service for any unlawful purpose
  • Upload malicious files, viruses, or harmful code
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service's infrastructure
  • Scrape, crawl, or use automated tools to access the Service
  • Reverse engineer, decompile, or attempt to extract source code
  • Resell, sublicense, or redistribute the Service without permission
  • Use the Service to generate false or misleading compliance documentation

5. Your Content

5.1 Ownership

You retain all rights to the documents, policies, and data you upload to ComplyDeck ("Your Content"). We do not claim ownership of Your Content.

5.2 License Grant

By uploading content, you grant us a limited license to process, store, and display Your Content solely to provide the Service to you. This license ends when you delete Your Content or close your account.

5.3 Your Responsibilities

You are responsible for ensuring you have the right to upload any content and that Your Content does not violate any laws or third-party rights.

6. AI-Generated Content

6.1 Nature of AI Responses

ComplyDeck uses artificial intelligence (Google Gemini) to generate responses based on your uploaded documents. AI-generated content:

  • Is provided as a draft for your review and approval
  • May contain errors, inaccuracies, or omissions
  • Should be reviewed by qualified personnel before submission
  • Does not constitute legal, compliance, or professional advice

6.2 Your Responsibility

You are solely responsible for reviewing, editing, and approving all AI-generated responses before using them. ComplyDeck is a tool to assist your compliance efforts, not a replacement for professional judgment.

7. Subscription and Payment

7.1 Free Tier

We offer a free tier with limited features. Free accounts may have restrictions on document uploads, questionnaire processing, and team members.

7.2 Paid Subscriptions

Paid plans are billed monthly or annually in advance. Prices are listed on our pricing page and may change with 30 days notice.

7.3 Refunds

We offer refunds within 14 days of initial subscription purchase if you are not satisfied with the Service. Contact [email protected] for refund requests.

7.4 Cancellation

You may cancel your subscription at any time. Access continues until the end of your current billing period. We do not provide prorated refunds for partial months.

8. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by ComplyDeck, Inc. and protected by intellectual property laws. Our trademarks, logos, and brand features may not be used without written permission.

9. Third-Party Services

The Service integrates with third-party providers:

  • Google Gemini: AI language model for generating responses
  • Supabase: Authentication and database services
  • Cloud Storage: Secure document storage

Your use of these services is also subject to their respective terms and privacy policies.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

  • The Service will be uninterrupted or error-free
  • AI-generated responses will be accurate or complete
  • The Service will meet your specific requirements
  • Any defects will be corrected

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPLYDECK SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, data, or business opportunities
  • Damages arising from AI-generated content errors
  • Failed compliance assessments or audits
  • Third-party claims related to your use of the Service

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless ComplyDeck, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your Content
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Termination

We may suspend or terminate your account if you violate these Terms. Upon termination:

  • Your right to use the Service ends immediately
  • You may request export of Your Content within 30 days
  • We may delete Your Content after 90 days

14. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
